By creating an account on Omnisio you agree to these Terms. They govern how you use the platform, how bookings and payments work, and what we are (and aren't) responsible for.

1. Introduction

These Terms and Conditions ("Terms") govern your use of the Omnisio platform ("Platform"), operated by itsstartupsLTD, a company registered in England and Wales (Company Number: 16974754), with its registered office at 135 Trundleys Road, London, England, SE8 5JQ ("we", "us", "our").

By registering an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not create an account or use the Platform.

2. About Omnisio

Omnisio is an online marketplace that connects service providers, event organisers, and businesses ("Providers") with individuals seeking to book services or events ("Customers"). The Platform facilitates bookings and payments but is not itself a service provider.

Services listed on Omnisio may include (but are not limited to): personal care services, sports and fitness events, entertainment, and professional services.

3. Eligibility

You must be at least 18 years old to create an account or make bookings on Omnisio. By using the Platform, you confirm you meet this requirement.

Providers must be legally authorised to offer their services in the relevant jurisdiction and are solely responsible for ensuring compliance with all applicable laws and regulations.

4. User Accounts

To access certain features you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately at info@omnisio.co.uk if you suspect unauthorised access
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Bookings and Payments

All bookings made through Omnisio are subject to availability and confirmation by the Provider. A booking is confirmed only when you receive written confirmation via the Platform.

Payments are processed securely via Stripe. By making a payment, you agree to Stripe's Terms of Service. We do not store your full payment card details.

Where a service offers a deposit option, the deposit amount is clearly displayed before checkout. The remainder is payable directly to the Provider at the time of the appointment. Omnisio is not responsible for the collection of remainder balances — this is a matter between you and the Provider.

For event listings, payments may be held and released after the event has taken place. This is to protect customers in the event of cancellation, dispute, or non-delivery of the event.

6. Cancellations and Refunds

Cancellation and refund policies are set by individual Providers and will be displayed on each listing. Omnisio is not responsible for a Provider's cancellation policy.

If a Provider cancels a confirmed booking, you are entitled to a full refund of any amounts paid through the Platform.

Refund disputes should be raised within 14 days of the relevant booking date by contacting us at info@omnisio.co.uk.

7. Provider Responsibilities

Providers who list services or events on Omnisio agree to:

  • Provide accurate and truthful descriptions of their services, pricing, and availability
  • Fulfil every confirmed booking as described on the listing — including timing, scope, and quality
  • Comply with all applicable laws, licensing requirements, and health and safety regulations in their jurisdiction
  • Maintain appropriate insurance for the services they offer
  • Handle all customer data in accordance with UK GDPR and applicable data protection law
  • Connect a valid Stripe account before publishing services, events, or their business profile
  • Communicate professionally and promptly with customers and with Omnisio's support team
  • Not accept payments outside of the Omnisio platform for bookings initiated through the platform

Omnisio reserves the right to remove any listing, suspend, or permanently terminate any business account that violates these Terms or that we determine, in our sole discretion, is inappropriate, fraudulent, or harmful to customers or to the platform.

7a. Business Conduct Standards

As a Provider, you agree that you will not:

  • Misrepresent your qualifications, experience, or the nature of the services you offer
  • Use Omnisio to advertise or solicit business outside the platform in order to avoid platform fees
  • Engage in discriminatory conduct or treat customers unfairly on the basis of protected characteristics
  • Solicit customers to leave reviews in exchange for discounts, gifts, or other incentives
  • Operate under multiple accounts or create duplicate listings to manipulate search rankings or reviews
  • Upload content that infringes the intellectual property rights of any third party
  • Engage in any conduct that could damage the reputation of Omnisio or the trust of platform users

Breaches of these conduct standards may result in immediate suspension, permanent removal, withholding of pending payouts pending investigation, and/or referral to relevant authorities where unlawful conduct is suspected.

7b. Listing Accuracy & Changes

Providers are solely responsible for ensuring that their listing information is accurate, up to date, and not misleading. This includes service descriptions, pricing, availability, photos, and any stated qualifications or accreditations.

If a service changes materially after a booking has been made (e.g. a price increase, location change, or scope reduction), the Provider must notify the affected customer and offer a full refund if the customer does not wish to proceed under the changed terms.

Omnisio may edit, restrict, or remove listings that we determine contain inaccurate, misleading, or inappropriate content.

7c. No-Shows and Cancellations by Providers

If a Provider fails to honour a confirmed booking without reasonable notice, Omnisio will issue a full refund to the affected customer.

Providers with a pattern of cancellations or no-shows may have their listing suspended or removed. We define a pattern as two or more Provider-initiated cancellations of confirmed bookings within any 30-day period.

Providers should communicate any inability to fulfil a booking as early as possible and must not mark a service as complete if it has not been delivered.

7d. Omnisio's Responsibilities to Providers

In return, Omnisio commits to:

  • Providing a transparent and fair platform for listing and accepting bookings
  • Processing payouts promptly once the dispute window has passed (48 hours after the scheduled appointment time)
  • Communicating any material changes to fees or platform terms with at least 30 days' notice
  • Acting as a neutral facilitator in dispute resolution, reviewing evidence from both parties before making a determination
  • Protecting Provider data in accordance with UK GDPR
  • Providing access to dashboard tools for managing bookings, availability, and earnings

Omnisio is a marketplace facilitator, not an employer of Providers. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Omnisio and any Provider.

7e. Data Exports

Providers may download CSV exports of booking and ticket sale data relating to their own business via the dashboard. These exports include customer personal data (names, email addresses, and transaction details). By using the data export feature, you acknowledge and agree that:

  • you become an independent data controller under UK GDPR for any personal data you download;
  • you will only use exported customer data for legitimate business purposes directly related to bookings made through Omnisio;
  • you will not sell, share, or transfer exported customer data to any third party;
  • you will not use exported data to send unsolicited marketing communications unless the customer has given explicit consent (such as via the in-checkout marketing consent checkbox);
  • you will store and secure any exported data appropriately and delete it when no longer needed;
  • you will comply with all applicable data protection legislation including the UK GDPR and the Data Protection Act 2018.

Omnisio is not liable for any misuse of customer data following export. Providers found to have misused exported data may have their account suspended and the matter referred to the ICO.

8. Platform Fees & Subscriptions

Providers may be subject to platform commission charges deducted at point of payment, as set out in the Provider Agreement. These fees will be clearly communicated prior to listing.

Omnisio may offer subscription plans that provide enhanced features, including reduced commission rates, increased visibility, and access to promotional tools. Subscription fees, billing cycles, and cancellation terms will be clearly presented at the point of purchase.

Omnisio reserves the right to amend its fee structure with 30 days' notice to affected Providers.

9. Prohibited Conduct

You must not use the Platform to:

  • Post false, misleading, or fraudulent listings or reviews
  • Engage in any unlawful activity
  • Circumvent the Platform by arranging direct payments with Providers to avoid fees
  • Upload malicious software or attempt to gain unauthorised access to our systems
  • Harass, abuse, or discriminate against other users

10. Intellectual Property

All content on the Omnisio Platform, including logos, design, and software, is owned by or licensed to itsstartupsLTD. You may not reproduce, distribute, or create derivative works without our express written permission.

Providers retain ownership of their listing content but grant Omnisio a non-exclusive licence to display and promote that content on the Platform.

11. Limitation of Liability

Omnisio is a marketplace facilitator and is not a party to the contract between Provider and Customer. We are not liable for:

  • The quality, safety, or legality of any service listed on the Platform
  • Any loss or damage arising from your use of, or inability to use, the Platform
  • Any acts or omissions of Providers or Customers
  • Remainder balances owed to Providers for deposit bookings

To the fullest extent permitted by law, our total liability to you shall not exceed the total fees paid by you to Omnisio in the 12 months preceding the claim.

Omnisio may, at its discretion, assist in facilitating communication and resolution between users in the event of a dispute, but is not a party to the agreement between Provider and Customer and is not obligated to resolve such disputes. Any dispute resolution facilitated by Omnisio is offered as a courtesy and does not create liability on Omnisio's part.

12. Indemnification

You agree to indemnify and hold harmless itsstartupsLTD, its officers, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or your use of the Platform.

13. Third-Party Services

The Platform integrates with third-party services including Stripe (payments), Cloudinary (media hosting), Resend (transactional email), Supabase (database), and Brevo (marketing email — used only where you have given explicit consent). Your use of these services is subject to their respective terms and privacy policies.

Where you have consented to marketing communications, your name and email may be processed by Brevo for the purpose of sending those communications. You may withdraw consent at any time by emailing info@omnisio.co.uk or via the unsubscribe link in any marketing email.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms by existing users.

New users agree to the Terms in force at the time of registration by completing the sign-up process.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
